1. Overview & Agreement
These Terms & Conditions govern the provision of software engineering, design, cloud consulting, and maintenance services by Zunava TechSolutions ("we", "us", or "our") to our clients ("you" or "client").
By engaging our services, signing a proposal, Statement of Work (SOW), or making payment for services, you agree to be bound by these terms unless expressly modified in writing in a master services agreement.
2. Scope of Work & Deliverables
All project deliverables, specifications, timelines, and pricing are defined in individual project proposals or Statements of Work (SOW) agreed upon between the parties.
Any requested modifications, feature additions, or scope changes beyond the agreed SOW will be evaluated and quoted through an agreed Change Request process.
3. Intellectual Property Ownership
Upon full and final payment of all agreed fees for a project, 100% ownership of custom source code, designs, database schemas, and project assets developed specifically for you will be transferred to you.
Any pre-existing open-source libraries, third-party frameworks, or reusable proprietary boilerplate tooling utilized in the development remain subject to their respective open-source or proprietary licenses.
4. Payment Terms & Invoicing
Payment schedules are typically structured in milestones (e.g., discovery/kickoff, design sign-off, alpha/beta development, final deployment) as outlined in the project SOW.
Invoices are due within the timeframe specified on each invoice. Work on subsequent milestones commences upon settlement of previous milestone invoices.
5. Quality Assurance & Warranty
We stand behind our code. Unless otherwise specified in the SOW, we provide a 30-day post-launch bug fixing warranty period for bugs directly attributable to deviations from agreed specifications.
Ongoing support, version upgrades, infrastructure maintenance, and feature enhancements beyond the warranty period are available through our dedicated maintenance agreements.
6. Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use the software.
These terms shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
